Please read these Terms and Conditions ("Terms") carefully before using the CAPwatch software application ("Application") provided by CAPwatch Inc. ("Company"). By accessing or using the Application, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not use the Application.
License and Use:
a. The Company grants you a limited, non-exclusive, non-transferable,
revocable license to use the Application for your personal and
non-commercial use only.
b. You may not copy, modify, distribute, sell, or lease any part of the
Application or reverse engineer or attempt to extract the source code,
unless expressly authorized by the Company.
c. You agree not to use the Application for any unlawful purpose or in
any way that may infringe upon the rights of others.
Privacy:
a. The Company may collect and use personal information as described in
the privacy policy, which is an integral part of these Terms. By using
the Application, you consent to the collection and use of your personal
information as described in the privacy policy.
Intellectual Property Rights:
a. All intellectual property rights in the Application and its content
(excluding user-generated content) are owned by the Company. You
acknowledge and agree that you have no rights or interests in the
Application other than the limited license granted in these Terms.
User-Generated Content:
a. By using the Application, you may generate or contribute content
("User Content").
b. You retain ownership of any User Content you create or upload.
c. By submitting User Content, you grant the Company a worldwide,
non-exclusive, royalty-free license to use, store, reproduce,
distribute, modify, and display the User Content for the purpose of
operating, improving, and promoting the Application.
d. You represent and warrant that you have the necessary rights to grant
the above license and that your User Content complies with applicable
laws and regulations.
Disclaimer and Limitation of Liability:
a. The Application is provided on an "as is" and "as
available" basis without any warranties or representations, express
or implied.
b. The Company shall not be liable for any direct, indirect, incidental,
consequential, or exemplary damages arising out of or in connection with
the use of the Application.
c. The Company does not warrant that the Application will be error-free,
secure, or uninterrupted, and does not guarantee the accuracy or
reliability of any information obtained through the Application.
Termination:
a. The Company may modify, suspend, or terminate the Application or your
access to it at any time without prior notice.
b. Upon termination, all licenses and rights granted to you in these
Terms will immediately cease, and you must cease all use of the
Application and delete any copies you have made.
Governing Law:
These Terms shall be governed by and construed in accordance with the
laws of the jurisdiction where CAPwatch LLC. is located, without regard
to its conflict of law principles.
Severability:
If any provision of these Terms is found to be invalid or unenforceable,
the remaining provisions shall remain in full force and effect.
Entire Agreement:
These Terms constitute the entire agreement between you and the Company
regarding the use of the Application and supersede any prior agreements
or understandings.
By using the CAPwatch software application, you agree to these Terms and Conditions. If you do not agree to abide by these Terms and Conditions, please refrain from using the Application.
